These Marketplace Terms govern your use of the VidStack freelancer marketplace, where creators can discover and connect with freelancers offering video production services. These terms are part of and supplement our general Terms of Service.

By using the VidStack marketplace as a creator or freelancer, you agree to these Marketplace Terms.


1. About the Marketplace

1.1 Platform Only

VidStack provides a platform that connects YouTube creators with freelancers who offer services such as video editing, script writing, thumbnail design, voiceover, and channel management.

VidStack is not:

  • An employment agency or staffing firm
  • A party to any agreement between creators and freelancers
  • An escrow or payment processing service for freelancer payments
  • Responsible for the quality, completion, or outcome of any work

1.2 Direct Relationships

All engagements, agreements, and payments between creators and freelancers occur directly between those parties, outside of VidStack. We facilitate introductions only.


2. Freelancer Terms

2.1 Eligibility

To create a freelancer profile, you must:

  • Be at least 18 years old
  • Have a valid VidStack account
  • Provide accurate and truthful profile information
  • Have the legal right to offer the services you list

2.2 Profile Requirements

Your freelancer profile must:

  • Use your real name or legitimate business name
  • Include an accurate description of your services and skills
  • Display only portfolio work you have the right to showcase
  • List honest pricing and turnaround times
  • Provide valid contact methods

2.3 Prohibited Profile Content

You may not include in your profile:

  • False or misleading information about your skills, experience, or portfolio
  • Work samples you did not create or do not have permission to display
  • Contact information for illegal services
  • Discriminatory, offensive, or inappropriate content
  • Spam, excessive keywords, or manipulative content designed to game search results

2.4 Freelancer Responsibilities

As a freelancer, you are solely responsible for:

  • The quality and timely delivery of your work
  • Communicating clearly with creators who hire you
  • Setting and collecting your own payments
  • Complying with all applicable tax laws and regulations in your jurisdiction
  • Maintaining any required business licenses or permits
  • Honoring agreements you make with creators

2.5 Independent Contractor Status

Freelancers on VidStack are independent contractors. You are not an employee, agent, or representative of VidStack or any creator who hires you. You acknowledge that:

  • VidStack does not control how, when, or where you perform your work
  • You are free to offer services to multiple clients, including outside VidStack
  • You are responsible for your own taxes, insurance, and business expenses
  • No employment relationship is created by using the marketplace

3. Creator Terms

3.1 Using the Marketplace

Creators can browse freelancer profiles, view portfolios, and contact freelancers directly using the contact information provided on their profiles.

3.2 Creator Responsibilities

As a creator, you are solely responsible for:

  • Evaluating freelancers before hiring them
  • Clearly communicating your project requirements and expectations
  • Negotiating and agreeing to terms directly with freelancers
  • Paying freelancers according to your agreements
  • Resolving any disputes directly with freelancers

3.3 No Guarantees

VidStack does not guarantee:

  • The accuracy of any freelancer profile or portfolio
  • The quality, timeliness, or completion of any work
  • The availability of any freelancer
  • That any freelancer will meet your expectations

Hire freelancers at your own risk. We recommend reviewing portfolios carefully, communicating expectations clearly, and starting with smaller projects when working with new freelancers.


4. Payments Between Users

4.1 Direct Payments

All payments for freelancer services are made directly between creators and freelancers. VidStack does not:

  • Process payments between users
  • Hold funds in escrow
  • Guarantee payment from creators to freelancers
  • Guarantee delivery of work from freelancers to creators

4.2 Payment Methods

Freelancers list their preferred payment methods on their profiles (e.g., PayPal, Wise, bank transfer). Creators and freelancers agree on payment terms independently.

4.3 Payment Disputes

VidStack does not mediate payment disputes. If a dispute arises:

  • Attempt to resolve it directly with the other party
  • Use the dispute resolution mechanisms of your payment provider
  • Seek legal remedies if necessary

5. Job Postings

5.1 Posting Jobs

Creators may post job listings to find freelancers for specific projects. Job postings must:

  • Accurately describe the work required
  • Include realistic budget expectations
  • Not contain discriminatory requirements
  • Comply with all applicable employment and labor laws

5.2 Prohibited Job Postings

You may not post jobs that:

  • Discriminate based on race, color, religion, sex, national origin, age, disability, sexual orientation, gender identity, or any other protected characteristic
  • Offer illegal work or services
  • Are fraudulent, deceptive, or misleading
  • Require payment from applicants
  • Violate intellectual property rights or request infringing work
  • Contain spam or are posted repeatedly

5.3 Job Posting Removal

We reserve the right to remove any job posting that violates these terms or applicable law, without notice.


6. Disputes Between Users

6.1 No Mediation

VidStack does not mediate, arbitrate, or resolve disputes between creators and freelancers. This includes disputes about:

  • Quality of work
  • Payment or non-payment
  • Project scope or requirements
  • Deadlines or delivery
  • Intellectual property ownership
  • Any other matter

6.2 Resolution

Users are expected to resolve disputes directly with each other. If you cannot reach a resolution, you may:

  • Use third-party mediation services
  • Pursue legal remedies in the appropriate jurisdiction

6.3 Reporting Violations

While we do not resolve disputes, you may report users who violate these Marketplace Terms or our Community Guidelines. Reports can be sent to support@vidstack.app.


7. Intellectual Property

7.1 Work Product Ownership

Ownership of work created by freelancers for creators is determined by the agreement between those parties. VidStack makes no claims to any work product.

7.2 Recommendation

We strongly recommend that creators and freelancers establish clear written agreements regarding:

  • Ownership of deliverables
  • Usage rights and licenses
  • Revisions and modifications
  • Confidentiality

7.3 Portfolio Rights

Freelancers typically retain the right to display completed work in their portfolios unless otherwise agreed with the creator.


8. Reviews and Ratings

8.1 Honest Reviews

If VidStack implements a review system, all reviews must be:

  • Based on genuine experiences
  • Honest and accurate
  • Free from personal attacks or harassment

8.2 Prohibited Review Practices

You may not:

  • Post fake reviews (positive or negative)
  • Pay for or incentivize reviews
  • Review your own profile using another account
  • Retaliate against users for leaving honest reviews

9. Account Suspension and Termination

9.1 Violations

We may suspend or terminate your access to the marketplace for violations including:

  • Fraudulent or fake profiles
  • Repeated complaints from other users
  • Failure to deliver work after receiving payment
  • Failure to pay freelancers as agreed
  • Posting prohibited content
  • Any violation of these terms or our Terms of Service

9.2 Effect of Termination

If your marketplace access is terminated:

  • Your freelancer profile will be removed from public view
  • You may not create a new profile without our permission
  • Existing agreements with other users remain in effect and must be honored

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIDSTACK AND SAPPY MEDIA LLC SHALL NOT BE LIABLE FOR:

  • Any disputes, damages, or losses arising from interactions between creators and freelancers
  • The quality, accuracy, or legality of any freelancer's work
  • Non-payment or fraud by any user
  • Any loss of income, business opportunities, or reputation
  • Any indirect, incidental, or consequential damages related to the marketplace

YOUR USE OF THE MARKETPLACE IS AT YOUR OWN RISK.


11. Indemnification

You agree to indemnify and hold harmless VidStack and Sappy Media LLC from any claims, damages, or expenses arising from:

  • Your use of the marketplace
  • Your interactions with other users
  • Any work you perform or commission through the marketplace
  • Your violation of these Marketplace Terms

12. Changes to These Terms

We may update these Marketplace Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the marketplace after changes constitutes acceptance of the revised terms.
