Terms of Service

Welcome to VidStack. These Terms of Service ("Terms") govern your access to and use of the VidStack platform, website, and services (collectively, the "Service") operated by Sappy Media LLC ("Company," "we," "us," or "our").

By accessing or using VidStack, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 18 years old to use VidStack. By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Account Registration

To access certain features of VidStack, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

3. Account Types

VidStack offers two account types:

Creator Accounts: For users who manage YouTube channels and use the platform for content production, AI tools, and hiring freelancers.

Freelancer Accounts: For users who offer services to creators, including video editing, script writing, thumbnail design, voiceover, and channel management.

Users may maintain both account types simultaneously.

4. Subscription Plans and Billing

4.1 Subscription Options

VidStack offers monthly and annual subscription plans. Details of each plan, including pricing and features, are available on our pricing page.

4.2 Auto-Renewal

All subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method on file for each renewal period.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of that period.

4.4 Price Changes

We may change subscription prices with 30 days notice. Price changes will take effect at your next renewal date.

5. Credits System

5.1 How Credits Work

Credits are used to access AI-powered features including script generation, voiceover creation, and thumbnail generation. Each subscription plan includes a monthly credit allocation.

5.2 Additional Credits

You may purchase additional credit packs at any time. Purchased credits are added to your account immediately.

5.3 Credit Expiration

Monthly subscription credits reset at each billing cycle and do not roll over. Purchased credit packs do not expire while your account remains active but expire when your subscription lapses.

6. AI-Generated Content

6.1 Third-Party AI Services

VidStack uses third-party AI services to provide certain features:

• Script Generation: Powered by Anthropic Claude
• Voiceover Generation: Powered by ElevenLabs
• Thumbnail Generation: Powered by Google Gemini

Your use of these features is subject to the respective terms of service of these providers.

6.2 Ownership of Generated Content

You own the content generated through our AI tools, including scripts, voiceovers, and thumbnails. You are free to use this content for your YouTube channels and other purposes.

6.3 No Guarantees

We do not guarantee the accuracy, quality, originality, or suitability of AI-generated content. You are responsible for reviewing and editing all generated content before use. AI-generated content may contain errors, inaccuracies, or content that requires modification.

6.4 Prohibited Uses

You may not use AI features to generate content that is illegal, harmful, harassing, defamatory, obscene, or that infringes on the rights of others.

7. Freelancer Marketplace

7.1 Platform Only

VidStack provides a platform for creators to discover and connect with freelancers. We are not an employment agency, staffing firm, or escrow service.

7.2 Independent Contractors

Freelancers on VidStack are independent contractors, not employees of VidStack or the creators who hire them. VidStack does not control, direct, or supervise freelancer work.

7.3 Direct Relationships

All hiring, payment, and work arrangements are made directly between creators and freelancers. VidStack is not a party to these agreements.

7.4 No Guarantees

VidStack does not guarantee:

• The quality, timeliness, or completion of freelancer work
• The accuracy of freelancer profiles or portfolios
• The availability of any freelancer
• Payment between creators and freelancers

7.5 Disputes

VidStack does not mediate or resolve disputes between creators and freelancers. Any disagreements regarding work, payment, or other matters must be resolved directly between the parties involved.

7.6 Freelancer Responsibilities

Freelancers are responsible for:

• Maintaining accurate profile information
• Delivering work as agreed with creators
• Complying with all applicable tax laws and regulations
• Maintaining any required business licenses or permits

8. Job Postings

Creators may post job listings to find freelancers. All job postings must:

• Be accurate and not misleading
• Not discriminate based on race, color, religion, sex, national origin, age, disability, or any other protected characteristic
• Not contain illegal, fraudulent, or deceptive content
• Comply with all applicable employment and labor laws

We reserve the right to remove any job posting that violates these Terms or applicable law.

9. Team Features and Communication

9.1 Team Chat

VidStack provides team communication features. Users are solely responsible for the content of their messages.

9.2 Prohibited Communications

You may not use communication features to:

• Harass, bully, threaten, or intimidate others
• Send spam or unsolicited promotional content
• Share illegal content or content that infringes on others' rights
• Engage in hate speech or discrimination
• Share malware or malicious links

9.3 Monitoring

We do not actively monitor private communications but reserve the right to investigate reported violations and take appropriate action.

10. Acceptable Use

You agree not to:

• Violate any applicable law or regulation
• Infringe on the intellectual property rights of others
• Upload viruses, malware, or other malicious code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the Service for any illegal or unauthorized purpose
• Create fake accounts or freelancer profiles
• Post fraudulent job listings
• Abuse AI features to generate harmful, illegal, or infringing content
• Interfere with or disrupt the Service
• Circumvent any access or usage limitations

11. Intellectual Property

11.1 VidStack Property

VidStack, its logo, and all associated branding, software, and technology are owned by Sappy Media LLC. You may not copy, modify, distribute, or create derivative works without our express written permission.

11.2 User Content

You retain ownership of content you create or upload to VidStack, including channel information, scripts, and other materials. By uploading content, you grant us a limited license to store, display, and process that content solely to provide the Service.

11.3 Feedback

If you provide feedback, suggestions, or ideas about VidStack, you grant us the right to use that feedback without compensation or attribution.

12. Termination

12.1 Termination by You

You may close your account at any time through your account settings or by contacting us.

12.2 Termination by Us

We may suspend or terminate your account at any time, with or without notice, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Abusive behavior toward other users or our team
• Extended periods of inactivity

12.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account data after 30 days
• You remain responsible for any outstanding payments
• Provisions that by their nature should survive will survive termination

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAPPY MEDIA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or content
• Disputes between creators and freelancers
• Issues with AI-generated content
• Service interruptions or errors

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless Sappy Media LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you upload or generate through the Service

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict of law principles.

16.2 Arbitration

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in North Carolina.

16.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16.4 Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction for violations of intellectual property rights.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement between you and Sappy Media LLC regarding the Service.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
