Terms of Service

Welcome to VidStack. These Terms of Service ("Terms") govern your access to and use of the VidStack platform, website, and services (collectively, the "Service") operated by Sappy Media LLC ("Company," "we," "us," or "our").

By accessing or using VidStack, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility & Invite-Only Access

You must be at least 18 years old to use VidStack. By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

VidStack is an invite-only community service. Creating an account requires a valid invite code issued by us. Invite codes are single-use, non-transferable once redeemed, and may be revoked before use at our discretion. We may add or remove members from the community at any time.

2. Account Registration

To access VidStack, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

3. Free Service & Your API Keys

VidStack is currently provided free of charge to community members. There are no subscriptions, credits, or payments collected through the Service.

AI features (script generation, the AI assistant, and voiceover generation) run using API keys that you supply from third-party providers (currently Anthropic and Fish Audio). You are solely responsible for:

• Obtaining those API keys and complying with each provider's own terms of service
• All usage charges billed to you directly by those providers
• Keeping your keys valid and appropriately funded

Your API keys are stored encrypted and are used only to make requests you initiate through the Service. We never bill you and we are not a party to your relationship with any AI provider. We may add, change, or remove supported providers at any time.

4. The Service

VidStack provides tools for YouTube content production, including AI-assisted script generation, AI voiceover generation, competitor and channel research, kanban-style project management, and team collaboration. Features may change, be added, or be removed at any time without notice. As a free community product, the Service is provided on an "as available" basis with no uptime guarantee.

5. AI-Generated Content

Content generated through AI features (scripts, voiceovers, analyses) is generated by third-party AI models using your API keys. You are responsible for reviewing AI output before use. AI output may contain inaccuracies, and you are solely responsible for how you use it, including compliance with YouTube's policies and applicable law. As between you and us, you own the content you create with the Service.

6. Teams

You may invite team members to collaborate on your channels. You are responsible for the people you invite and for any content they create in your workspaces. Team members must have their own accounts and use their own API keys for AI features.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Share, sell, or transfer invite codes without our permission
• Attempt to gain unauthorized access to the Service or other users' accounts or data
• Interfere with or disrupt the Service
• Use the Service to create content that is illegal, infringing, or violates the policies of the platforms you publish to
• Scrape, reverse engineer, or resell the Service

8. Termination

You may delete your account at any time from Settings. We may suspend or terminate your access at any time, with or without cause, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately.

9. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
